Terms and Conditions
The terms of trade set out below govern all of the supplies of Products and Services from GLI ("GLI", "we", "us") to the customer ("you"). They will replace all earlier terms of trade and any conditions contained in any document used by you and purporting to have contractual effect. Your acceptance of any Products from GLI indicates your acceptance of these terms of trade.
1.0 General
1.1 In these conditions, Supplier means GLI' suppliers; Products means goods or services of any kind which are supplied by GLI to you. Any variations to these terms must be previously agreed to in writing.
2.0 Price and Orders
2.1 Prices may be altered without notice.
2.2 GLI reserves the right to refuse to accept any order or any part of an order, and to deliver goods by instalments, in which case each instalment will comprise a separate contract and shall be paid for as if it were a separate order.
3.0 Risk and delivery
3.1 You are responsible for insurance and risk in the Products from the time they are received by a carrier for delivery to you or collected by you or your agent.
3.2 You agree to pay all delivery costs.
3.3 All claims for shortage or damage during delivery must be made to the carrier within 7 days of the date of delivery. Where goods appear to be damaged or missing you must contact the carrier and us immediately.
3.4 We will make every effort to ensure delivery of Products, or performance of services, is on time, but will not be liable to you for any loss or damage arising in any way from any delay in delivery or performance. Delay in delivery or performance does not entitle you to cancel any order.
3.5 Where you ask us to deliver goods directly to another person, that person takes possession of the goods for you as your agent, but you are still directly responsible to us under these terms of trade.
4.0 Payment
4.1 Unless we have agreed to extend credit to you, you must pay in cash before supply.
4.2 You agree to pay for the Products in full without deduction or setoff and to pay goods and services tax and any other government duties, levies or taxes in respect of the Products.
5.0 Property
5.1 Property and ownership in Products, whether in their original form or incorporated in or attached to another product will not pass to you but will remain with us until we receive payment in full of the purchase price of the Products and all other amounts that you owe to us for any reason.
6.0 Returns
6.1 You acknowledge and agree that returns shall only be accepted by us in accordance with our returns policy as notified to you from time to time, and that you may receive a credit for goods returned only if we have consented in writing.
7.0 Warranties
7.1 Goods are subject to the manufacturers’ warranties only. We will pass on the benefit of those warranties to you, without being directly liable to you under any warranty.
7.2 Where goods are subject to a return to base warranty, you are responsible for returning them to us or the manufacturer (as provided by the warranty) and you may be responsible for additional costs including (but not limited to) freight.
7.3 Any warranty may be voided by damage to or misuse of the product, or problems caused by inadequate packaging or storage.
8.0 Obligations to suppliers
8.1 We may impose certain conditions on you from time to time where our suppliers require us to do so.
9.0 Limitation of liability
9.1 The provisions of the Consumer Guarantees Act shall not apply to any supply of Products to you, and the conditions, warranties and guarantees set out in the Sale of Goods Act 1908 or implied by common law will not apply and are excluded from these terms of trade.
9.2 GLI maximum liability to you shall be limited to the value of any faulty Products or services supplied, and GLI and its employees, contractors and agents, any manufacturers of the Products or any of their materials or components, will not be liable to you for loss or damage of any kind however that loss or damage is caused or arises. This exclusion of liability includes, but is not limited to, costs (including costs of returning Products to GLI or to any manufacturer), consequential loss, loss of profits and damage caused by or arising from delays in manufacturing or delivery, faulty or delayed installation, unreasonable use, negligence (including a failure to do something which should have been done or to prevent something from happening), faulty specifications and design, and faulty materials, components, manufacture or compilation of the Products.
9.3 We will not be liable to you for any losses caused by events beyond our reasonable control. We will not be required to settle a strike or lockout or other industrial disturbance against our wishes in order to benefit from this clause.
9.4 GLI will be excused from our obligations to deliver goods within the estimated time if that non-performance is due to events beyond our control.
10.0 Your further obligations
10.1 Where you purchase any Products from us for resupply as, or incorporation into, goods or services ordinarily acquired for personal household or domestic use or consumption ("Consumer Products") you warrant that:
(a) if you supply the Consumer Products directly to an end user/consumer you will do so using terms and conditions of supply which exclude liability for any claims under the CGA; and
(b) if your customer acquires the Products for resupply, you will ensure that your customer and each person in the distribution chain will exclude liability in its contract for supply for any claims under the CGA, but in each case only where the end user/consumer acquires the Consumer Products for business purposes, and you agree to indemnify us and our Suppliers against any failure by you, your customers or any person in the distribution chain to properly contract out of liability to business end users/consumers under the CGA.
10.2 You indemnify us against all costs (including legal costs on a solicitor and own client basis) expenses, losses, damages or claims arising in any way as a result of your failure to comply with any part of these terms of trade.
11.0 Intellectual property and Confidentiality
11.1 All intellectual property shall remain the property of GLI or any Supplier entitled to it, and neither GLI nor its Suppliers transfer any right, title or interest in the intellectual property to you.
11.2 You must not use any trade marks which are the property of GLI or its Suppliers, or any similar words or marks, or any combination of words which includes any of those trademarks or any similar words or marks, except to the extent authorised by GLI in writing.
11.3 You agree to dispatch the Products only under the trademarks under which they are supplied by GLI, and under no circumstances shall you apply any of the trade marks to any product which is not a genuine branded product supplied to you by GLI.
11.4 You must not cause or permit anything which may interfere with, damage or endanger the trademarks or other intellectual property rights of GLI or its Suppliers, or assist or allow others to do so.
11.5 You must advise GLI immediately when you become aware of any unauthorised use or attempted use by any person of the trademarks or other intellectual property rights of GLI or its Suppliers.
11.6 You may not register a business name incorporating the words "GLI".
11.7 You agree to ensure that all Confidential Information given by GLI to you is made available to your employees only on the basis that those employees at all times maintain strict confidentiality.
11.8 This clause 13 shall survive the termination of the Agreement.
12.0 General
12.1 GLI reserves the right to change these terms of trade from time to time.
12.2 If GLI fails to enforce any terms or to exercise its rights under these terms of trade at any time, GLI has not waived those rights.
12.3 If any provision of these terms of trade is held to be invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and the parties shall adjust their respective rights and obligations in accordance with the spirit and intent of the parties as shown by these terms of trade.
12.4 This agreement is governed by the laws of New Zealand and any dispute under it shall be subject to the exclusive jurisdiction of the Courts of New Zealand.

We may change the Privacy Policy at any time, and will be posted on this page. The Privacy Policy relates to the collection and use of personal information you may supply to us through your use of this website.
Any and all the information collected on this site will be kept strictly confidential and will not be sold, reused, rented, disclosed or loaned to anyone else. Any information you give us will be held with the utmost care and will not be used in ways that you have not consented to. Personal information you provided on this website will be used to provide you with the information or service you requested and/or give you significant notices, announcements and information about this website.
Credit Card details are not stored within any of our systems; it is automatically processed through a secure Merchant payment gateway. All details sent over the payment gateway are encrypted to ensure your information is secure.

Refunds and Returns Policy
1.0 Returns
1.1 If the customer wishes to return or exchange a component it must be brand new and in original condition. GLI does not accept returned products without the original packaging and/or missing parts.
1.2 The period for return or refund is seven (7) days from the date of purchase. Any entitlement to a refund or exchange is void when the component is presented after the return period.
1.3 Due to copyright regulations GLI does not accept opened software.
1.4 Products must be returned to GLI at the customer’s expense. Products at risk of damage from shipping should be packaged carefully; failure to do so will void a refund or exchange.
2.0 Refunds
2.1 GLI does not have to provide a refund if you change your mind about a particular product, or if you find after a purchase that it is not compatible with what you currently have.
2.2 To qualify for a refund everything must be unopened and/or unused and in original, undamaged manufacturer's packaging. If the component is sealed it must be returned in the same condition.
3.0 Restocking fee
3.1 GLI reserves the right to charge a minimum of 15% restocking fee if we do agree to a refund in clause 2.0.
3.2 A minimum of 25% restocking fee is charge on return/refund of software.
3.3 A 50% restocking fee will be charge if the product is a specific product ordered in for the customer.

Packages are generally dispatched within 2 days after receipt of payment and are shipped via Post Haste Couriers with tracking and all parcels are signature required.
Shipping fees include handling and packing fees as well as postage costs. Handling fees are fixed, whereas transport fees vary according to total weight of the shipment. We advise you to group your items in one order. We cannot group two distinct orders placed separately, and shipping fees will apply to each of them. Your package will be dispatched at your own risk, but special care is taken to protect fragile objects.
South Island parcels are generally delivered overnight from time of dispatch, North Island parcels are generally two day service from time of dispatch.
Should you not receive your parcel by 5 working days please contact us immediately so that we can open an investigation.

Secure Payment
Our payments are in NZD and are all handled securely directly via the Paystation gateway.  The name that will appear on your statement will be Golden Leaf International Ltd.
